4. Service Availability

We strive to ensure that our services are available 24/7; however, we do not guarantee uninterrupted access. Service availability may be subject to scheduled maintenance, updates, or factors beyond our control.

5. Payment Terms

• Fees: Fees for our services will be outlined in your service agreement. Payment is due as specified in the invoice provided to you.
• Late Payments: Late payments may incur additional charges. We reserve the right to suspend or terminate services for non-payment.
• Refunds: Refunds are not provided unless explicitly stated in the service agreement or required by law.

6. Confidentiality

We respect the confidentiality of your data and information. We will not disclose your confidential information to third parties without your consent, except as required by law.

7. Intellectual Property

All intellectual property rights, including trademarks, logos, and content related to our services, are owned by Eclipse Solutions. You may not use, reproduce, or distribute our intellectual property without our written permission.

8. Limitation of Liability

• No Warranty: Our services are provided “as is” without any warranties, express or implied. We do not warrant that our services will be error-free or uninterrupted.
• Liability: To the maximum extent permitted by law, Eclipse Solutions shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of our services.

• Termination by You: You may terminate your service agreement at any time by providing written notice to us, subject to the terms of your service agreement.
• Termination by Us: We may terminate or suspend your access to our services if you violate these Terms or fail to make timely payments.

These Terms shall be governed by and construed in accordance with the laws of the state in which Eclipse Solutions operates, without regard to its conflict of law principles.

12. Changes to Terms

We may update these Terms from time to time. Any changes will be posted on our website, and the updated Terms will be effective immediately upon posting. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
